Putting electric water heater in cabinet?
I had a small water heater that came in a metal cabinet that matched the height of the washer and dryer it sat next to and I had to replace it with one that does not have the cabinet and I want to know if I can enclose it with a cabinet made from wood? It does say this is suitable for under cabinets and it would have 4-6 inches clearance around it and on top. Being electric would it need ventilation?

Electric doesn't need ventilation, The tank is insulated so you don't have to worry about heat lighting the wood on fire or drying it out.

U should be ok. I have just done a similar thing with a house I just bought.
I wanted the closet (under the stairs to the second floor) that had a direct vent lp gas unit made into a 1/2 BATH as the pvc sewer pipes were directly under that spot and a toilet waste line could be easily installed. I put a new elec. shorty 28 gal. water heater in a dead space corner in the kitchen hidden under the counter with easy access by removing the dish washer and next to exposed existing water pipes and a spare 240 line. Got tired of "sarge" beefin' about having to go upstairs to visit the potty! This was a easy DIY fix to silence her !
